WHEREAS, Audiogodz Inc. (also known Instructor) agrees to furnish you (also known as Talent) certain confidential information relating to for the purposes of developing creative content;

WHEREAS, Talent agrees to review, examine, inspect or obtain such confidential information only for the purposes described above, and to otherwise hold such information confidential pursuant to the terms of this Agreement.

BE IT KNOWN, that Instructor has or shall furnish to Talent certain confidential information and may further allow Talent the right to discuss with Producer on the following conditions:

1. Talent agrees to hold confidential or proprietary information or trade secrets ("confidential information") in trust and confidence and agrees that it shall be used only for the contemplated purposes, shall not be used for any other purpose, or disclosed to any third party.
2. No copies will be made or retained of any written information or recorded classes supplied without the permission of Instructor.
3. Confidential information shall not be disclosed to any employee, consultant or third party unless they agree to execute and be bound by the terms of this Agreement, and have been approved by the Instructor].
4. Talent agrees to allow the use of his or her voice to be on the recorded classes, that will be available for a free limited-time download to class participants or possibly sold at a later date as a set of instructional CD’s. Talent can choose a first name alias. Only first names will be used between Instructor and Talent to preserve anonymity.
6. This Agreement and its validity, construction and effect shall be governed by the laws of California.
